*Meeting called to order on 5/7/24, 7:01pm at Osceola Lanes by Spencer.
Secretary’s report:
- All past month meeting minutes are posted on our webpage. No additions or corrections.
Treasurer’s report:
- No updates thru March. No income or expenses.
- Expenses in April for flowers, scholarships, and land owner’s appreciation lunch.
Old Business:
- 501c3 updates.
- Got a response on the long application from the IRS. Need a copy of the club’s articles of incorporation from 1984. Haven’t been able to find it. Requested a copy of the document from the state. Need to align to IRS requirements, thus need to amend our articles. Frank drafted a proposed Amendment to Articles of Incorporation that states the club is organized exclusively for (1) charitable, (2) educational, and (3) public service purposes.
- If approved by the club, need to submit the updates to the state of WI. Then resubmit the application back to the IRS to change from 501c7 to 501c3 designation.
- Will save a copy of the original Articles of Incorporation to the club’s Google drive.
- Microphone. Shermachs bought a new microphone & speaker system.
- Clothing orders can be placed.
- Post cards will be printed before fair.
- Elections will be after the meeting.
New Business:
- 501c3.
- Copies of draft proposed Amendment to Articles of Incorporation passed around for review by members. Motion made to adopt the proposed draft Amendment to Articles of Incorporation as drafted. Seconded and approved.
- Frank to do next steps to resubmit the 501c3 application to the IRS.
- Bowling. Club plans to bowl after the meeting. Members pay for their own bowling.
- Motion was made to have club cover expenses for members to bowl. Not approved.
- Resolution proposed to have Vice President’s responsibilities updated to also serve as back-up Treasurer. This would change second name on the account from Sheri Hoiby to the elected VP. Would have access to accounts and be able to make payments if the Treasurer was not available. Could also help review and audit the financials.
- Motion was made and seconded. Approved by unanimous vote.
- Frank to write up a resolution to update roles in the club’s bylaws.
Council Report:
- Last meeting in April.
- Trying for Trail 30 funding.
- Updating signs on Gandy trail.
- Doing some grooming on Cattail trail.
- Trail Maintenance Appreciation Dinner was held before the meeting on 4/11. KAOS youth club helped serve dinner.
KAOS Youth Club:
- Next KAOS meeting is in September.
- KAOS club helped serve dinner at the Trail Maintenance Appreciation dinner prior to the April council meeting on 4/11.
- Raffle tickets were drawn at the Council meeting on 4/11. Good fund raiser.
- Club did elections at the April meeting.
Committee Reports: Reminder to all club members that committees were formed at the December 2023 club meeting to establish designated missions, leaders, contributors, and budgets for each. This is intended to allow progress to be made within each committee without requiring votes for actions so long as the committees operate within their allotted budget and mission. Anyone is welcome to join a committee(s) to get involved. More help is always appreciated! Questions can be directed to committee chairpersons.
- Fair Revenue Committee:
- Chair: Cyndi Sommerfeldt
- Mission: Maximize fair revenue by providing food and drink to the participants of the Osceola Fair at a reasonable value.

- Other Revenue Committee:
- Chair: Kate & Chris Shermach
- Mission: Generate additional revenue to the club to close any budget gaps that may happen. Possible streams could include donations, raffles, poker run, clothing store, etc.

- Landowner Appreciation Committee:
- Chair: Donna Berg
- Mission: Show appreciation to our 110+ landowners for allowing our trails to cross their property.
- Budget: $5,000
- Updates:
- Landowner Appreciation Lunch held May 5 at UW Wanderoos.
- Kevin sent post cards out to landowners.
- Did gift cards only this year, no other prizes.
- Frank did a slide show with some info on our trails, territory, landowners in each area, length of trails, etc.
- About 25% of landowners showed up for the lunch. The remaining gift cards will be mailed to landowners.
- Overall was under budget for the lunch.

- Scholarship / Donation Committee:
- Chair: Angel Olson
- Mission: Give back to the community by donating to worthy causes like college scholarships to our local graduating high school seniors and donating to the local food shelves, fire departments, rescue squads, etc.
- Budget: $1,500 (plan 2x $500 scholarships and $500 donation to food shelf)
- Updates:
- Scholarships awarded in May, a couple days after our club meeting. Connor Martin and Mason Utke were chosen recipients this year.
- Social Committee:
- Chair: Spencer Feldt
- Mission: Show appreciation to our members for all the work they do to ensure we meet the needs of our landowners, trails, and community.
- Budget: $200

- Social Media Committee:
- Chair: Jacque Bonneprise
- Mission: Maintain our website, Facebook, and other platforms to ensure our by-laws, meeting minutes, activities, trail information, etc are readily available to our members and community.

- Trail Committee:
- Chair: Kevin McNutt
- Mission: Work closely with our landowners to ensure our trails are safe and fun for all our members and visitors. Document all trail work in SNARS. Collect and save land use agreements and send to the county rep.

- Mission: Create and oversee a budget that will be sufficient to appreciate our landowners, maintain our trails, recognize our members, and contribute to our community.
